Terms and Conditions: Ria Refer A Friend Program

Preamble

RIA LITHUANIA UAB, located at Upes st. 23, 08128, Vilnius, Lithuania ("RIA") may from time to time offer users of its money transfer services the opportunity to sponsor a person to try these services.

The purpose of these Terms and Conditions is to set forth the rules governing the organization and operation of the "Invite a Friend" Referral Program (including the use of the Application).

By participating in the Refer a Friend Program, Users expressly accept the Terms and Conditions and agree to use the Refer a Friend Program in accordance with them. Any User who does not accept the Terms and Conditions will not be able to participate in the Referral Program.

Article I. Definitions

Capitalized terms in the Terms and Conditions have the meanings given to them below, it being understood that terms defined in the singular shall also be understood in the plural and vice versa:

"Application" means the Ria application required to use the Referral Program, which can be downloaded from https://www.riamoneytransfer.com/mobile-app

"Referred Customer" means an individual who is referred to the Services by a User/Sponsor.

"Referral Code" means the unique Referral Code associated with the Referrer, which the Referrer must communicate to a Referred Customer before he/she uses the Services.

"Account" means the account opened by the Referrer for the purposes of the Referral Program.

"Content" means all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, illustrations, and computer code, including the design, structure, selection, coordination, expression, look and feel, presentation and layout, or computer code contained on the digital platforms, the Application, or any other medium of the Referral Program.

"Credit" means the credits received by the Sponsor when it makes a Qualified Referral as defined in Section 3.05.

"General Terms and Conditions" means these general terms and conditions governing the operation and use of the Referral Program.

"Sponsor" means a User who meets the eligibility requirements set forth in Section 3.02 and who has made a Referral under the conditions set forth in Section 3.03.

"Referral": means the act of recommending the Services to a friend, family member or colleague.

"Qualified Referrals" means a Referral that meets the requirements set forth in Section 3.04.

"Party" means, either together or individually, a User, a Sponsor or Ria.

"Referral Program" means this referral program as defined in the preamble and governed by the Terms and Conditions.

"Reward" means the consideration received by the Referrer as a result of the referral made as defined in Section 3.06, when the Referrer meets the requirements of a Qualified Referral.

"Services" means the money transfer services offered by Ria as described in the preamble.

"User" means any person who has read and expressly accepted the Terms and Conditions and who has downloaded the Application for the purpose of making a Referral. To avoid any confusion, it is specified that the User and the Sponsor are the same persons but are at different stages of the process.

Article II. Interpretation

Unless a contrary intention appears :

  • the terms and expressions defined in the General Terms and Conditions may be used, as necessary, in the singular or plural;
  • any reference made, in the General Conditions or in any other Content or in any other document accessible on the website, to a legal or regulatory provision or any other type of binding norm, shall be interpreted as designating this provision as possibly modified or replaced.

Article III. How a Referral Works

A Sponsorship is conducted as follows:

  1. The User downloads the Application and accesses the "Invite Friends" area;
  2. The User, if he/she meets the eligibility requirements, makes a Referral by communicating his/her Referral Code to a Recommended Customer;
  3. Once the Referral meets the conditions to qualify as a Qualified Referral, the User becomes a Referrer and receives a Credit and eventually a Reward.

Section 3.01 Participation in the Referral Program

To participate in the Referral Program, User must download, visit and follow the steps indicated on the Application.

To access the "Refer a Friend" area, the User must identify himself/herself using his/her login and access his/her Account.

Users are reminded that they are entirely responsible for the preservation, security and confidentiality of their login credentials and their Accounts. Users should immediately notify Ria if they believe that the confidentiality of their login credentials has been compromised or if they suspect any unauthorized use of their Accounts. Ria is not responsible for any damage or loss arising from the unauthorized use of their credentials and Accounts.

Section 3.02 Eligibility Requirements

In order to qualify as a Sponsor, the User must cumulatively meet the following conditions:

  1. Be legally resident in France;
  2. Be at least 18 years old.
  3. Have completed a money transfer transaction via the Application

Any employee of Ria, any of its subsidiaries, branches, or promotional agencies, or any member of their household is not eligible to be a Referrer at any time.

Section 3.03 Making a Referral

To make a Referral, User must recommend the Services to a friend, family member or colleague by providing their Referral Code.

When a User recommends La co's Services to a friend, family member or colleague, he/she becomes a Referrer and receives a Referral Code that allows him/her to receive a Credit and a Reward for each of his/her Qualified Referrals.

The communication of the Referral Code to a Referred Customer is strictly the responsibility of the Referrer. The Referrer understands that Ria makes the Referral Code available to him/her and that he/she is responsible for communicating it to a Referred Customer.

At all times, a Sponsor agrees to respect the spirit of the Referral Program. In this respect, they undertake to sponsor only real people with whom they have the aforementioned link (friend, family member or colleague). They are forbidden to propose fictitious persons. In particular, he/she may not create fictitious identities, e-mail addresses or telephone numbers. Sponsors may not sponsor themselves.

Section 3.04 Qualified Sponsorships

A Referral is considered "qualified" when it meets the following conditions:

  1. The Referring Customer has made a "paid money transfer" with Ria using the Referrer's "Referral Code". For the purpose of this paragraph, a "paid money transfer" is qualified as such when the transfer has been approved by Ria and received by the recipient.

    Caution: If a Referred Customer makes a money transfer through any other link or method, the Referral will not be considered a Qualified Referral for purposes of this Section.

  2. The Referred Customer must not be registered with Ria through any other email, phone number or alias; and
  3. The Referred Client is legally resident in France and is at least 18 years old.

Section 3.05 Credits

Credits are awarded only for Qualified Referrals.

Section 3.06 Receiving a Reward

For each Qualified Referral, Sponsor will receive one (1) Award.

Sponsor understands that the nature of the Reward that will be awarded is dependent upon the current Reward practiced by Ria. To know the nature of the current Reward, the Sponsor is invited to consult his/her Account.

Additional terms and conditions may apply to the Rewards, including those governing their use. The Sponsor undertakes at all times to take note of any additional conditions that may apply. The nature of the Rewards granted to Sponsors is subject to change without notice by Ria.

Section 3.07 Miscellaneous

(a) Verification of Qualified Referrals

Ria reserves the right to verify, at any time, the legitimacy and qualification of a Qualified Referral. The Sponsor understands and agrees that for this purpose, Ria may block the use of a Reward while the verification process is carried out. In such a case, Ria agrees to make the Reward available immediately, if the verification does not reveal any irregularities.

If Ria concludes that the Qualified Referral is irregular, Ria will inform the Referrer that the Reward will be made unavailable immediately and without further compensation.

Sponsor understands and agrees that Ria may, in its sole discretion, deny a Referral or the granting of a Reward, in the event that Ria deems the Qualified Referral to be fraudulent, suspicious, or made in violation of the Terms and Conditions of this program or service.

(b) No Transfer and Value of Credits and Rewards

Sponsor shall not at any time transfer, trade, barter or sell Credits and Rewards.

Upon termination of the Referral Program or cancellation of a Referrer's Account for any reason, any unredeemed Credits and Rewards earned by the Referrer are forfeited. All Rewards are provided as is and no substitutions are permitted.

Article IV. Ownership and Use of Content

All Content is the property of RIA or its author and as such is protected by copyright or license.

Section 4.01 User's right of use

Notwithstanding the foregoing, Ria authorizes the User/Sponsor to use the Content solely for personal and non-commercial purposes. The use authorized by Ria and set forth in this Article is revocable at any time and without notice.

Ria reserves the right to take legal action against a User if the User uses the Content in violation of the above rights.

The User/Sponsor agrees to respect the copyright notices that may be placed on any Content when using it in any way.

Section 4.02 Trademarks

Ria informs the User/Sponsor that logos, product and service names, whether registered or not, are or may be trademarks of Ria or may be protected by specific licenses. Without Ria's prior written consent, the User agrees not to use them in any way.

Article V. Declarations and commitments of the User

Without prejudice to any other obligation provided for in the General Conditions, the User declares :

  • He/she has read the present General Conditions, understands them and accepts them without reservation;
  • To be solely responsible for the use of his Account (including his login and password);
  • Be solely responsible for obtaining and securing the personal equipment necessary to register on the Application and to connect, including the use of a secure internet connection and a device compatible with the technical parameters of the Application;
  • Understand that access to and use of the Application may be temporarily unavailable in the event of technical or computer malfunctions, or in the event of force majeure, which is defined as any unforeseeable, irresistible event that is external to Ria; and
  • To be contacted by Ria by e-mail.

Without prejudice to any other obligation set forth in the Terms and Conditions, the User agrees to:

  • To respect the laws and regulations in force and to act in good faith in his use of the Application, and in particular to refrain from any practice diverting it to purposes other than those for which it is made available to the User or provided to him;
  • To make strictly personal use of his Account, in particular by prohibiting any access to and/or use of the latter by third parties and by taking all reasonable precautions to ensure and maintain the confidentiality and security of his login.

Article VI. Responsibilities

Section 6.01 Responsibilities of the User/Sponsor

The User/Sponsor is responsible for all the commitments provided for in the General Conditions.

Ria shall not be held liable for any breach by the User/Sponsor of the said commitments.

In the event of a breach of any of the provisions of the General Terms and Conditions, including the aforementioned commitments, or more generally, of any violation of the laws and regulations in force by a User/Sponsor, Ria reserves the right to take any appropriate measure, including

  • To temporarily suspend access to the Application;
  • To unilaterally terminate the Terms and Conditions;
  • To delete the Account; and/or
  • To take any legal action.

Section 6.02 Ria's responsibilities

Ria undertakes to make its best efforts to ensure the proper functioning of the Application. In the event of technical, computer and/or other malfunctions, Ria undertakes to carry out or have carried out the necessary maintenance work in order to restore the proper functioning of the Application within a reasonable time.

Ria will not be held responsible in any way for:

  • Lost, late, stolen, misdirected, incomplete, illegible, erroneous, dubious, confusing or incomprehensible communications, regardless of the method of transmission, provided that Ria is not responsible for such communications;
  • Any harm, loss or damage arising from the acceptance, possession or use of a Reward or membership in a Referral Program that was not reasonably foreseeable by Ria; or
  • Any typographical, clerical, or technological error in any website, Application, or any Content associated with the Referral Program.

In no event shall Ria be liable for any loss or damage resulting directly or indirectly from force majeure or from measures taken by French or foreign authorities.

Ria will not be liable for the inability to provide a Reward if such inability is due to force majeure, any legal or regulatory provision, equipment failure, or any other event of any nature beyond the control of the Parties.

Article VII. Sending repeated e-mails ("Spam")

If a Referrer provides his Referral Code to a Referred Customer by e-mail, the e-mail must be created personally for the Referred Customer. He commits himself not to communicate to him repeatedly and refrains from communicating to him if the Referred Customer has objected to it.

The distribution of repeated emails (also called "Spam") or any other sending of the Referral Code in a way that would constitute or appear to constitute an unsolicited commercial email or "Spam", is expressly prohibited and may, at Ria's sole discretion, constitute grounds for Account closure, invalidation of the Referral Code, unavailability of a Credit or Reward, and/or termination of the Terms and Conditions.

Article VIII. Modification of the General Terms and Conditions

Any modification to the General Terms and Conditions is agreed between the Parties by making them available on the following link: https://www.riamoneytransfer.com/en-fr/app-terms-and-conditions.

Unless a different legal, regulatory or contractual deadline exists, the revised Terms and Conditions will come into effect thirty (30) days after the communication initiated by Ria.

Article IX. Termination of the Terms and Conditions

A User/Sponsor may, within one month of the communication of the new Terms and Conditions initiated by Ria, terminate their relationship in case of disagreement with the modification made, except when such modification results from a legal or regulatory obligation.

Ria may terminate the Terms and Conditions at any time upon fifteen (15) calendar days' notice. Ria may also terminate the Terms and Conditions without notice in the event of a breach of the Terms and Conditions by User/Sponsor.

The User/Sponsor may terminate the Terms and Conditions at any time subject to fifteen (15) calendar days notice. The termination is made by sending an email with acknowledgement of receipt to the following address: fr_support@riamoneytransfer.com.

Article X. Ownership and use of the Content

All Content as defined in Article 1 is protected by copyright, trademark or similar legal and regulatory provisions. The compilation, collection, modification or any other manipulation of this Content is strictly subject to the aforementioned rights.

Article XI. Fraudulent and Suspicious Behavior

Ria may, in its sole discretion, deny a User, membership in the Referral Program or the ability to earn Credits and/or Rewards, if it determines that such User is attempting to undermine the fairness, integrity, or legitimate operation of the Referral Program in any way through cheating, hacking, deception, or any other unfair practice intended to produce similar negative effects. Similar treatment will be given to those who fail to comply with Ria's terms of service.

The use of any automated system, script or macro during membership is strictly prohibited and will result in exclusion from this Referral Program and/or termination of the Terms and Conditions without prior notice upon Ria's knowledge.

Without prejudice to the legal actions available to Ria, in any case Ria reserves the right to exclude any User and/or cancel any Credit and/or Reward granted if it is found that a User has altered the input process and/or operation of the Referral Program or violated the Terms and Conditions of this program or Ria's money transfer service.

Article XII. No Waiver

If at any time any provision of the General Terms and Conditions is or becomes illegal, invalid or unenforceable under the law of any jurisdiction, the legality, validity or enforceability of the remaining provisions of the General Terms and Conditions, and the legality, validity or enforceability of that provision under the law of any other jurisdiction, shall not in any way be affected or impaired.

Article XIII. Tax obligations

The User/Sponsor declares that he/she is solely responsible for any obligation to declare the Rewards that may arise from any applicable tax law or regulation. Ria undertakes to communicate the amount of the Rewards to the User/Sponsor.

Article XIV. Processing of personal data

Ria processes personal data within the meaning of the RGPD (Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data or "RGPD") in accordance with its privacy policy available on its website at the following address: https://www.riamoneytransfer.com/privacy-policy/.

Article XV. Complaints and customer assistance

In case of complaint or for any question concerning this Referral Program, a User/Sponsor can send a complaint to Ria by mail to Ria Customer Services, UpΓ©s g. 23, Vilnius (Lithuania), by phone at 01 72 28 50 20 or at the following email address: fr_support@riamoneytransfer.com.

Article XVI. Proof

Unless otherwise provided by law, Ria shall be entitled to rely on its own records and accounts as evidence to the Parties.

The User/Sponsor acknowledges and accepts that Ria may administer the proof of a legal act by means of a copy or a reproduction of the original document, whatever the nature or the amount of this act. This copy or reproduction has the same force and value as the original document.

Article XVII. Applicable law

The present conditions, their object and their formation are governed by Lithuanian law. As a consumer resident in other EU Member States, you will also benefit from all mandatory provisions of the consumer protection laws of those countries, unless applicable laws provide otherwise.

Both you and we agree that the courts of Lithuania shall have exclusive jurisdiction.

These terms and conditions do not affect your statutory rights as a consumer.
